Lumens Energy to Acquire Retail Supplier

Lumens Energy Supply CT LLC is to acquire Aequitas Energy, Inc. under a proposed transaction

Aequitas is a retail power marketer licensed in Connecticut and Massachusetts. As of February 28, 2014, Aequitas was serving 5,900 customers in Connecticut, with growth of about 1,000 accounts from January 2014 to February 2014.

Lumens Energy is authorized to market electricity and natural gas in New York, and has pending applications in Ohio, New Jersey, and Pennsylvania.

Specifically, under the proposed transaction, Lumens CT will acquire all of the issued and outstanding shares of capital stock of Aequitas from Elena Cahill, thereby transferring ownership and control over Aequitas to Lumens CT.

Ownership of Lumens Energy Holdings LLC, the indirect parent of Lumens CT, includes IBLE Holdings LLC (11%), IBDL Holdings LLC (15%), Seneca Holdings LLC (6%), which is wholly owned by Michael Katz, and Juliana Claussen (7%).

Additional passive owners of Lumens Energy Holdings include Manor Lane Associates LLC, Grosser Lane Associates LLC, RH Lumens Holdings LLC, Palladium Resources LLC, and KMAJE LLC

IBLE Holdings LLC is wholly owned by Isaac Barber. Ownership interests in IBDL Holdings LLC are as follows: Isaac Barber 21.7%, David Levy 25.5% and Michael Katz 52.8%.

David Levy and Isaac Barber each own a 1.8 percent ownership interest in Crius Energy, LLC.

Some of the passive owners of Lumens Holdings also own interests in other limited liability companies that own interests in Crius Energy, LLC.

Upon completion of the transaction, it is expected that Aequitas will continue to operate under its current name, with its operations and customer service personnel remaining at its current location. Aequitas is expected to continue to focus its sales efforts on the small commercial and industrial markets.

Cahill will enter into a consulting agreement with Aequitas for a two year period but will no longer be Aequitas' chief executive officer. After the change in ownership, Aequitas' management will consist of Isaac Barber, Director and Officer, Michael Katz, Director and Officer, and Juliana Claussen, Officer.
