Already In Line for Glacial Assets, Agera Energy Acquires Two Other Retail Suppliers

Agera Energy LLC has entered into a stock purchase agreement, under which Agera will purchase all of the issued and outstanding membership interests in Lumens Energy Holdings LLC, which is the ultimate parent of retail suppliers Aequitas Energy, Inc. and Lumens Energy Supply LLC

As a result of the transaction, Lumens Energy Supply and Aequitas will become indirect, wholly-owned subsidiaries of Agera, according to a FERC filing.

As previously reported, Agera Energy is the designated purchaser of the Glacial Energy retail suppliers.

Currently, the direct and indirect owners of Lumens Holdings and their approximate respective ownership interests (as a percentage of total ownership interests in Lumens Holdings) are as follows: (a) IBLE Holdings LLC and IBDL Holdings LLC, together owning all the Class A and Class C membership interests, with their total ownership shares in Lumens Holdings equaling 11.9% and 16.1%, respectively; Seneca Holdings LLC, wholly-owned by Michael Katz, owns all the Class D membership interests, with its total ownership share in Lumens Holdings equaling 6.6%; and (b) the passive members collectively own all the Class B membership interests, with their total ownership shares in Lumens Holdings equaling 65.4%. IBLE Holdings LLC is wholly-owned by Isaac Barber. Ownership interests in IBDL Holdings LLC are as follows: Isaac Barber 21.7%, David Levy 25.5% and Michael Katz 52.8%.

Agera Holdings, the ultimate parent of Agera Energy LLC, is owned 95.01% by Michael Joseph Nordlicht and 4.99% by MF Energy Holdings, LLC (MF Holdings). One hundred percent (100%) of the membership interests in MF Holdings is owned by Mark Feuer.

In addition to retail supplier Agera Energy LLC, Agera Holdings owns Utility Recovery and Agera Solutions

Utility Recovery’s primary business purpose is to audit and analyze its clients’ retail electric and/or gas invoices to ensure that its clients were billed appropriately

Agera Solutions was formed to sell energy-related products such as smart thermostats. However, Agera Solutions has not commenced business operations, applicants said in the FERC filing
