Retail Supplier To Acquire New York ESCO

Pay Less is an Energy Services
Company authorized to sell electricity to retail customers in New York.
CPG holds 100%
of the ownership interests in Pay Less. CPG Power Holdings, LLC ('CPGH') owns and controls
100% of the voting securities of CPG. CPGH also owns Union Atlantic Electricity, LLC
33 Sigma was formed for the specific purpose of acquiring Pay Less. Johanna Salamone
holds 100% of the ownership interests in 33 Sigma and is the sole officer of 33 Sigma at this time.
Salamone owns 100% of Green USA, LLC,
an Energy Services Company authorized to sell electricity to retail customers in New York
Under the transaction, CPG will transfer 100% of the equity in Pay Less to 33 Sigma such that 33 Sigma will
directly own 100% of the outstanding membership interests in Pay Less
