Parent Of Power Marketer To Acquire Retail Energy Supplier

Robison Energy, LLC ("RE" or the "Applicant") has entered into a transaction under which RetailHoldCo, LLC ("HoldCo" or "Buyer") will acquire all of the
ownership interests in Robison Energy, LLC (the "Transaction").
RE, a retail energy supplier, is currently a wholly owned direct subsidiary of Singer Energy
Group, LLC ("Singer" or "Seller").
HoldCo is a holding company organized to hold
entities in the business of selling retail power and natural gas to customers in North America.
HoldCo is a direct, wholly owned subsidiary of V3 Commodities Group Intermediate,
LLC, which is a direct wholly owned subsidiary of V3 Commodities Group Holdings, LLC ("V3
Holdings").
All of the voting interests of V3 Holdings are held by an investor group, Village Energy
Investors, LLC ("VEI"). VEI is held in equal part by three investors, two of whom are
individuals, Walker Mygatt, and J. Scott Perry. The third owner of VEI is Meridian Energy
Investors, LLC, ("MEI"), the sole voting member of which is Michael McCarthy
V3 Commodities Group, LLC ("V3 Commodities"), a power marketer that participates
in wholesale natural gas and electricity markets and targeted retail markets in the United States,
is a wholly owned subsidiary of V3 Commodities Group Intermediate, LLC, whose upstream
ownership is described above
Pursuant to a Membership Interest Purchase Agreement ("Purchase Agreement") dated as
of May 31, 2023, Singer has agreed to transfer 100% of the membership interests in RE to
HoldCo. After consummation of the Transaction, HoldCo will own 100% of the outstanding
equity interests in RE.
RE is currently affiliated with Robison Energy (Commercial), LLC ("REC"), another retail supplier. Robison Energy (Commercial), LLC is not included in the Transaction
Following the Transaction, RE will no longer be affiliated with Singer,
REC, or their affiliates.
