Update: Retail Supplier To Undergo Change In Control, Transfer Customers To New Affiliate

Perigee Energy, LLC will undergo a change in control on April 1, 2017, under which Spark Energy, Inc., and its subsidiaries (collectively, “Spark Energy”) will purchase the outstanding membership interest in Perigee; thereby, implementing a change of control.

As previously reported, Spark Energy affiliate National Gas & Electric, LLC on February 3 had acquired 100% of the membership interests of Perigee, thereby implementing a change of control of the ownership of the company.

Although Spark Energy had announced that it would acquire 19,000 RCEs, with an option to acquire an additional 41,000 RCEs, from National Gas & Electric, LLC, Spark Energy's specific acquisition of Perigee Energy, LLC had not previously been confirmed

Furthermore, Perigee Energy, LLC, at least in some markets (specifically Ohio), will upon its acquisition by Spark assign and transfer its customers to Spark Energy's CenStar Energy Corp. subsidiary

While transferring its Ohio customers to its new affiliate CenStar, Perigee Energy, LLC will still maintain its Ohio supplier license
