Sunnova Energy International Inc. and certain of its subsidiaries on June 8 voluntarily filed petitions for chapter 11 relief in the United States Bankruptcy Court for the Southern District of Texas to facilitate a sale process for certain of the Company’s assets and business operations.

Sunnova intends to continue operating its business in the ordinary course throughout the sale process.

As previously reported, Sunnova in Texas has marketed an "Adaptive Retail Rate" retail electric and VPP plan, with the retail electric service provided by a third-party Texas REP, namely David Energy

In the bankruptcy filing, Sunnova said of the Adaptive Retail Rate that, "it is currently limited to a small pilot group of approximately 100 Customers."

More specifically, Sunnova stated, "In Texas, a limited subset of Customers participate in a Customer Program in conjunction with David Energy Systems, Inc. ('David Energy'). This Customer Program allows Customers to enroll in a Solar Adaptive Retail plan offered by David Energy and earn compensation from David Energy in the form of a credit on their electricity bill, gift card, or check. While Sunnova manages the virtual infrastructure, participating Customers separately enroll with David Energy as their retail electric provider. This arrangement enables Customers to maximize the value of their solar production, but it is currently limited to a small pilot group of approximately 100 Customers."

David Energy is not affiliated with Sunnova and is not a debtor or otherwise part of Sunnova's bankruptcy petition

Regarding the bankruptcy sale process, Sunnova said, "In order to maximize value for all stakeholders, Sunnova will conduct a court-supervised sale process to elicit the highest or otherwise best bid for the Company’s assets. Sunnova expects to complete the marketing and sale process, which will provide interested parties the opportunity to submit competing bids for the Company's assets, in approximately 45 days."
