Large Pennsylvania Utility Seeks Approval For Affiliate Agreement Under Which Affiliate Would Provide "Customer-Facing Consulting Services" & Execute "New Customer Projects Involving Edge Of The Grid Technologies"

Duquesne Light Company (DLC) has petitioned the Pennsylvania PUC for approval of an Affiliate Services Agreement between Duquesne Light Company and its affiliate The Efficient Network (TEN)

The Affiliate Services Agreement arises from a process, described further below, in which Duquesne Light Company sought, "a professional energy consultant to provide customer-facing consulting services, technical guidance, engineering support, etc. to inform, develop, and execute new customer projects involving edge of the grid technologies (i.e., solar, battery storage, EV, etc.)."

As sought in the selection process, "The consultant would work directly with the customer on DLC's behalf and would also potentially arrange various types of financing structures to support these customer projects."

In seeking this type of consultation, Duquesne Light Company said that eight service providers were invited to participate. Of those eight, four submitted a formal bid. Two providers gave final presentations, and after evaluation TEN was selected as the prevailing bidder, Duquesne Light Company said

To be clear, regardless of whether an affiliate or third-party entity was selected through the bidding process, the consulting service sought by Duquesne Light Company will inject the utility, through its selected consulting representative acting on DLC's behalf, into customer consideration, and execution, of the above-cited "edge of the grid technologies".

The identities of the other bidders were not publicly identified

The specific Affiliate Services Agreement for which PUC approval is sought was filed on a confidential basis

Duquesne Light Company said in its petition, "The scope and cost of the [TEN] bid was in the expected range for the services requested. Approval of the Agreement is in the public interest as TEN is highly qualified with direct experience completing similar projects for other entities. Duquesne is interested in moving forward with the contract, in order to obtain necessary services and provide benefits to customers. The Company requests that the Commission approve the Agreement as soon as is reasonably practicable."

Under the Public Utility Code, an Affiliated Interest Agreement shall be deemed approved if a PUC written order rejecting such Agreement is not issued within 30 days from the filing of the Agreement, unless the Commission extends the 30-day review period.

The PUC issued a Secretarial letter extending the PUC's review deadline for the proposed agreement filed by Duquesne Light Company. Such extensions are not uncommon in Affiliated Interest Agreement proceedings

The PUC extended until further order of the Commission the period for consideration of the Affiliate Services Agreement, "[i]n order to adequately review this Agreement[.]"
