Energy Management Co. Acquires Certain Assets Held By Resiliency Provider, REP Certificate

Priority Power recently acquired certain assets of RPower, including control of the entity RPower Retail LLC
RPower Retail LLC currently holds an Option 1 Texas retail electric provider certificate, but RPower Retail LLC has filed to relinquish its Texas REP certificate
In filing to relinquish its Texas REP certificate, RPower Retail LLC stated that RPower Retail LLC, "is not actively serving or previously having served any customers."
RPower Retail LLC's filing to relinquish its Texas REP certificate listed its principals, including executive officers, as solely consisting of individuals who currently hold leadership positions at Priority Power, such as Brandon Schwertner, CEO of Priority Power
The website for RPower Retail LLC, www.rpower1.com, now directs to the website of Priority Power
At least one other RPower entity, namely RPOWER TXMOC LLC -- which has been described in prior Texas PUC filings as a QSE -- appears to now be controlled by Priority Power, due to the fact that a document changing RPOWER TXMOC LLC's registered agent on file with the Texas Secretary of State was filed by Bobak Fatemizadeh. An individual named Bobak Fatemizadeh serves as Chief Legal Officer at Priority Power. EnergyChoiceMatters.com could not immediately confirm that the individual Bobak Fatemizadeh who filed the change in registered agent for RPOWER TXMOC LLC is the same individual who serves as Chief Legal Officer at Priority Power.
I Squared Capital had in 2023 made a growth capital investment in RPower.
I Squared Capital acquired Priority Power in 2024.
Priority Power entity Priority Energy Transition 4, LLC currently holds an Option 2 Texas REP certificate, limited to serving customers 1 MW and larger which provide an affidavit agreeing to such service
When originally applying for the Priority Energy Transition 4, LLC REP certificate (with additional REP applications from similar Priority entities, such as Priority Energy Transition 1, LLC, etc.), Priority Power had said that it had no intention of becoming a retail electric provider, but was seeking the certificates to assist large loads in becoming their own self-suppliers
Recently, with the exception of Priority Energy Transition 4, LLC, all of the other Priority Energy Transition REP entities have relinquished their unused Option 2 REP certificates (one relinquishment, for Priority Energy Transition 5, remains pending). Priority Energy Transition 4, LLC continues to hold an Option 2 REP certificate
