Texas Retail Providers Involved In Purchase Agreement

MI Texas REP 2, LLC on August 14, 2025 made a conditional filing with the Texas Secretary of State to change its name to EE REP 2, LLC
Under a section of a Certificate of Amendment form filed with the Texas Secretary of State labeled "Effectiveness of Filing", MI Texas REP 2, LLC checked a box indicating that, "This document takes effect upon the occurrence of a future event or fact, other than the passage of time."
MI Texas REP 2, LLC indicated on the Certificate of Amendment form that, "The following event or fact will cause the document to take effect in the manner described below:
"(1) The consummation of the transactions contemplated by that certain Purchase Agreement, dated August 13, 2025, between MI Texas, LLC and Elevate Energy, LLC, and (2) the execution of amendments to three Blocked Account Control Agreements with J.P. Morgan Chase Bank N.A. relating to the Filing Entity."
On the August 14, 2025 Certificate of Amendment form filed with the Texas Secretary of State, MI Texas REP 2, LLC listed its Managing Member as MI Texas, LLC.
MI Texas REP 2, LLC currently holds Texas REP certificate #10315 and uses the trade name Think Energy.
An entity named Elevate Energy LLC currently holds Texas REP certificate #10353.
Elevate Energy LLC is part of Energywell, whose subsidiaries operate the Think Energy retail supplier brand in non-Texas markets. In Texas, Energywell's Think+ Network LLC is a broker and offers products provided by MI Texas REP 2 LLC d/b/a Think Energy.
