Update On Texas REP Purchase Agreement

EE REP 2, LLC, f/k/a MI Texas REP 2, LLC, filed for an amendment to its Texas retail electric provider certificate to reflect, among other things, a change in ownership and control, and name change
As of September 1, 2025, MI Texas REP 2, LLC experienced a change in ownership and control. The new owner and direct parent company of MI Texas REP 2, LLC is Elevate Energy, LLC (which holds Texas REP Certificate No. 10353 and which is part of Energywell).
MI Texas REP 2, LLC has changed its legal name to EE REP 2, LLC
The existing trade name Think Energy will remain on the REP certificate of EE REP 2, LLC, f/k/a MI Texas REP 2, LLC
Note: the text below was composed prior to EE REP 2, LLC f/k/a MI Texas REP 2, LLC filing a Texas REP certificate amendment, with such Texas filing posted at 4:50 PM Texas local time on Sept. 5
Retail energy supplier Think Energy, LLC, which is part of Energywell, said in an Ohio regulatory filing that Think Energy, LLC is now affiliated with EE REP 2, LLC
Per an org chart included in the Ohio filing, EE REP 2 LLC [no comma before LLC] is a wholly owned subsidiary of Elevate Energy, LLC, which is a wholly owned subsidiary of Think Energy, LLC, which is ultimately a unit of Energywell Parent, LLC
In the Ohio filing, Think Energy, LLC said that EE REP 2, LLC is licensed to provide retail energy service in the state of Texas, license No. 10315
Texas REP certificate #10315 was originally granted to an entity then-named MI Texas REP 2, LLC.
As previously reported, MI Texas REP 2, LLC changed its name on its Texas Secretary of State certificate to EE REP 2, LLC, with the name change conditioned on, among other terms, the consummation of the transactions contemplated by that certain Purchase Agreement, dated August 13, 2025, between MI Texas, LLC (which was identified as the Managing Member of MI Texas REP 2, LLC as of August 14, 2025) and Elevate Energy, LLC (a unit of Energywell)
MI Texas REP 2, LLC had already held authorization under its Texas REP certificate to use the trade name Think Energy
As previously noted, in Texas, Energywell's Think+ Network LLC is a broker and had already offered products provided by MI Texas REP 2 LLC d/b/a Think Energy.
