Berkshire Hathaway and Occidental announced a definitive agreement for Berkshire Hathaway to acquire Occidental’s chemical business, OxyChem, in an all-cash transaction for $9.7 billion, subject to customary purchase price adjustments.
Berkshire Hathaway will also acquire through the transaction the OxyChem subsidiary Occidental Power Services, LLC, a power marketer
Occidental Power Services, LLC (as Occidental Power Services, Inc.) previously held an Option 2 Texas REP certificate, but voluntarily relinquished the certificate in 2013
Berkshire Hathaway will not acquire Occidental Power Marketing, L.P., which is not a subsidiary of OxyChem
Occidental Power Marketing, L.P. is also a power marketer and holds an Option 2 Texas REP certificate
Under prior FERC approvals and separate from the OxyChem transaction, Berkshire Hathaway is currently authorized to hold up to 50% of the outstanding voting securities in Occidental Petroleum Corporation, which is the ultimate parent of Occidental Power Marketing, L.P.
