TNMP Provides Response On Whether It Would Commit To New REP Affiliate (If Merger Approved) Not Becoming Option 1 REP

Texas-New Mexico Power Company (TNMP) and Troy ParentCo LLC (the "Applicants") have provided a response to an RFI from the Texas Energy Association for Marketers (TEAM) in which TEAM asked, as part of the commitments in a merger proceeding, if TNMP would commit that "it" will not convert "Lancium QSE, LLC" [sic] to an Option 1 retail electric provider
As previously reported, the Texas PUC is reviewing a proposed merger under which Texas-New Mexico Power Company would become an indirect subsidiary of Troy ParentCo LLC (Troy) and Blackstone Infrastructure (see background here)
As previously reported, as a result of the merger, Option 2 retail electric provider Lancium QSE I LLC would become a competitive affiliate of TNMP, due to Blackstone's investment and stake in Lancium LLC.
Option 2 REPs are limited to serving customers 1 MW and larger which provide an affidavit agreeing to such service. Option 1 REPs have no restrictions on the customers which they may serve
The Applicants noted that TEAM's RFI listed the REP as Lancium QSE, LLC, though the REP is named Lancium QSE I LLC. The Applicants answered the question on the basis that the RFI was referring to Lancium QSE I LLC
The Applicants said that Blackstone Infrastructure, of which TNMP would be an indirect subsidiary, does not have an ownership interest in
Lancium QSE I, LLC or control over the business or operational decisions of Lancium QSE I,
LLC. As such, "Blackstone Infrastructure (and TNMP) cannot make commitments on behalf of Lancium
QSE I, LLC," the Applicants said
"Blackstone Infrastructure does not have an ownership interest in or control
over the Lancium entities. Separate Blackstone Inc. funds that are not controlled by or part of
Blackstone Infrastructure hold an indirect minority economic interest in Lancium LLC and the
remaining interests are held by Lancium, Inc.," the Applicants said
The Applicants noted that any
conversion of Lancium QSE I, LLC to an Option 1 REP would require action by that entity and
approval by the PUC.
In response to another RFI from TEAM, the Applicants confirmed that Lancium QSE I, LLC is not currently providing any services in the ERCOT market for
entities within TNMP’s service area.
More specifically, the Applicants also responded that Lancium QSE I, LLC is not providing scheduling services in the ERCOT
market for load serving entities within TNMP’s service area, and responded that Lancium QSE I LLC is not providing scheduling services in the ERCOT
market for power generation entities within TNMP’s service area.
