Texas REP Affiliate Announces Launch of Public Offering of Common Stock, Will Fund Acquisition of Control Position In REP

BKV Corporation announced that it has launched an underwritten public offering of 6,000,000 shares of its common stock.
BKV expects to grant the underwriters a 30-day option to purchase up to an additional 900,000 shares from BKV at the public offering price, less underwriting discounts and commissions.
BKV intends to use the net proceeds from the offering, together with cash on hand, for the payment of the cash consideration of the purchase price in connection with BKV’s previously reported acquisition of a controlling interest in BKV-BPP Power, LLC (the BKV-BPP Power Joint Venture Transaction) and related expenses.
As previously reported, the Texas retail electric provider BKV Energy (BKV-BPP Retail LLC) is organized under BKV-BPP Power, LLC
As previously reported, BKV Corporation ("BKV" or the "Company") and Banpu Power US Corporation ("BPPUS") previously announced that they have entered into a definitive purchase agreement (the "Purchase Agreement") pursuant to which BKV will acquire from BPPUS one-half of BPPUS’s interest in BKV-BPP Power, LLC ("BKV-BPP Power" or the "Power JV") such that, at the closing of the transaction, BKV would own 75% of the limited liability company interests in BKV-BPP Power.

Pending the closing of the BKV-BPP Power Joint Venture Transaction, or in the event the closing of the BKV-BPP Joint Venture Transaction does not occur, BKV expects to use the proceeds of the offering for general corporate purposes.
The completion of the offering is not contingent on the consummation of the BKV-BPP Power Joint Venture Transaction, and the BKV-BPP Power Joint Venture Transaction is not contingent on the completion of the offering.
