Retail Supplier Reports Wind Down Of Remaining Business Activity

Summer Energy Holdings, Inc. said in a 10-Q filed on December 29, covering the period ending September 2025, that, "Management’s plans to mitigate the Company’s current conditions included the sale of assets. The Company is in the process of winding down the remaining business activity of the Company."

While, as previously reported, Summer Energy Holdings had previously disclosed its continued efforts to sell a majority of its operating assets, Summer Energy Holdings, Inc. had not previously used the term "winding down" in describing its activities. In a prior 10-Q covering the period ending June 30, 2025, Summer Energy Holdings, Inc. had said that, in addition to seeking sales of assets, the company was, "slowing down our business operations."

As previously reported, during the quarter ending September 30, 2025, Summer Energy Holdings sold all of its non-prepaid commercial electric customers in Texas to Atlantic Energy Group

In the newly filed 10-Q covering the period ending September 30, 2025, Summer Energy Holdings, Inc. further reported, "The remaining operations have substantially decreased. Revenues for the three months ended September 30, 2025, were $636,622."

In the newly filed 10-Q covering the period ending September 30, 2025, Summer Energy Holdings, Inc. continued to state, "The Company continues to actively pursue a purchaser for the customers of Summer Midwest in the PJM market," which is the same language used in the 10-Q covering the period ending June 30, 2025. The newly filed 10-Q covering the period ending September 30, 2025 also includes additional language stating, "The Company is actively seeking a purchaser and to exit the PJM market."

As previously reported, Summer Energy Holdings previously reported defaults upon its senior securities. As of September 30, 2025, Summer Energy Holdings remained in default with Digital Lending, EDF, and Engie under its transition agreement

In the newly filed 10-Q covering the period ending September 30, 2025, Summer Energy Holdings, Inc. reported that, "On November 14, 2025, Engie provided notice to the Company to preserve records in connection with Engie Facility Agreement due to the ongoing Events of Default with the Company in the possibility of litigation in connection with the Engie Facility Agreement".

As of September 30, 2025 Summer Energy Holdings, Inc.'s unrestricted cash totaled $274,086

For the quarter ended September 30, 2025, Summer Energy Holdings generated $171,284 in electricity revenue from continuing operations primarily from commercial customers and from pre-paid residential customers.

For the three months ended September 30, 2025, Summer Energy Holdings' gross profit was $(28,239,817)

Summer Energy Holdings' net income for the three months ended September 30, 2025 was $(27,247,972)
