Hanwha Subsidiary To Acquire Another Retail Energy Supplier

174 Power Global Retail Corporation ("174PG"
or "Buyer"), Trieve, LLC ("Trieve" or "Seller") and Powervine Energy, LLC ("Powervine,"
collectively with Trieve and 174PG, the "Parties" or the "Applicants") have entered into a transaction under which 174PG will acquire 100% of the
limited liability company interests in Powervine from Trieve (the "Transaction").
Upon closing of
the Transaction, Powervine Energy, LLC will be a wholly-owned subsidiary of 174PG
174PG is wholly owned by Hanwha Energy USA Holdings Corporation
174PG functions as a holding entity for its energy retail subsidiaries: 174 Power Global
Retail Texas, LLC d/b/a Chariot Energy ("Chariot Energy TX"), Pumpjack Power, LLC d/b/a
Pumpjack Power ("Pumpjack Power") and Chariot Energy Northeast, LLC d/b/a Chariot Energy
Northeast ("Chariot Energy NE").
Powervine, f/k/a Sanford Energy Associates, LLC,
is authorized to serve retail customers in Pennsylvania and Ohio.
Per a post-transaction organization chart, the transaction does not include the entity Powervine Energy MD, LLC, which will remain owned by Trieve, LLC
Trieve, LLC is owned by AFE Holdings, LLC, which is owned by EnergyTech Holdings, Inc (78%), Baseload Capital, LLC (19%), and
Marcus Dotson (3%). "Baseload Capital, LLC is wholly owned by Marcus Dotson &
EnergyTech Holdings, LLC is wholly owned by Nathan Johnson," a FERC application states
The value of the transaction is less than $10 million
