Parent of Retail Supplier to Undergo Change in Ownership

Twin Cities Power, LLC, which operates as a retail supplier as Town Square Energy, submitted an application at FERC to reflect a change in the ownership of its parent.

Specifically, Twin Cities Power Holdings, LLC, the parent of Twin Cities Power, LLC, is currently owned entirely by Mr. Timothy Krieger and DBJ 2001 Holdings (DBJ), with Mr. Krieger owning 89.42% and DBJ owning 10.58%.

Pursuant to a Membership Unit Purchase Agreement, DBJ transferred the financial rights to its membership interests in TCPH to Mr. Krieger and, upon FERC approval, will transfer the governance rights to Mr. Krieger.

Upon consummation of the transaction, Twin Cities Power Holdings (and indirectly Twin Cities Power, LLC) will be owned entirely by Mr. Krieger. The FERC-jurisdictional facilities involved include Twin Cities Power, LLC's market-based rate tariff, any agreements pursuant to that market-based rate tariff and related books and records.
