Retail Supplier Parent Sells Equity Interests To Six Individuals

Aspirity Holdings LLC, the ultimate parent of retail suppliers Aspirity Energy Northeast, LLC and Aspirity Energy Mid-States, LLC sought FERC approval of a transaction under which Aspirity Holdings would sell equity interests to six individuals

Click here for a background on the formation of Aspirity Holdings LLC, which previously owned Town Square Energy, LLC and Town Square Energy East, LLC f/k/a Discount Energy Group, and is now starting up new retail suppliers under the Aspirity brand

Currently, 99.50% of Aspirity Holdings’ outstanding common equity interests are currently wholly-owned by one individual, Timothy Krieger, and 0.50% of such interests are owned by Summer Enterprises, LLC, a company controlled by Mr. Krieger

As contemplated by the transaction, the following individuals will be awarded equity interests in Aspirity Holdings: (a) Messrs. Mark A. Cohn and Wiley H. Sharp, III, each of who will receive a 15% equity interest, (b) Mr. Keith W. Sperbeck, who will receive 10%, and (c) Messrs. Scott C. Lutz, Jeremy Schupp, and Brandon Day, each of who will receive a 5% equity interest.

As a result of the transaction, Mr. Krieger's interest will be reduced to 44.99%, and Summer Enterprises, LLC's interest will be reduced to .01%.
